Contract on Providing the GoCrypto Service at a Point-of-Sale and / or an Online Shop

(hereinafter: “Service Provider”)

(hereinafter: “Merchant”),
(hereinafter jointly: “Contracting Parties”)

1. At their points-of-sale and / or online shop, the Merchant wishes to enable their buyers the payment for goods and services with virtual currencies and digital value vouchers.

2. The Service Provider has developed the GoCrypto service, which provides merchants with a transaction system enabling buyers to pay for goods and services with selected virtual currencies and digital value vouchers via mobile applications supported by the GoCrypto system, as well as provides merchants with an additional service of exchanging the selected virtual currencies and / or digital value vouchers into applicable local fiat currency.

3. For the above reasons, the Contracting Parties wish to make this contract on providing the GoCrypto service at a Merchant's point-of-sale and / or online shop.

1. The use of the GoCrypto service at a point-of-sale and / or an online shop is regulated by:

   1. the individual terms agreed between the Contracting Parties by means of this contract,

   2. the General Terms of Providing the GoCrypto Service at a Point-of-Sale and / or an Online Shop, which constitute Appendix 1 to this contract (hereinafter: “GoCrypto General Terms”).

2. The Merchant hereby confirms that it is familiar with the content of these GoCrypto General Terms and explicitly agrees that the Service Provider ensures the GoCrypto service to the Merchant under the terms laid down in the GoCrypto General Terms, which are an integral part of this contract. The Contracting Parties agree that, in the case of discrepancies between the provisions of this contract and those of the GoCrypto General Terms, the provisions of this contract prevail.

3. Unless otherwise specified in this contract, the terms used herein have the same meaning as those used in the GoCrypto General Terms.

1. The Merchant does not wish to have the virtual currencies or digital value vouchers received through the use of the service GoCrypto Payment at long-term disposal. For this reason, the Service Provider and the Merchant agree that, for the duration of this contract, the Service Provider will also perform the additional service GoCrypto Exchange with each payment made through the service GoCrypto Payment.

1. The Contracting Parties agree that the Merchant will pay the Service Provider for providing the service GoCrypto Payment and its use. In this, each individual transaction performed with the use of the service GoCrypto Payment will be subject to a fee according to the current fee schedule available on the following link: https://gocrypto.com/en/markets , which is an integral part of this contract.

2. The Contracting Parties agree that the Merchant will pay the Service Provider for ensuring the service GoCrypto Exchange and its use. In this, each individual exchange from the selected virtual currency or digital value voucher into the applicable local fiat currency, performed with the use of the service GoCrypto Exchange, will be subject to a fee according to the current fee schedule available on the following link: https://gocrypto.com/en/markets , which is an integral part of this contract.

3. Regardless of the provisions of the first and second paragraphs of this Article, the Merchant does not pay to the Service Provider the fees for the GoCrypto Payment and the GoCrypto Exchange services laid down in the aforementioned paragraphs for the month in which the contract entered into force and for the next three months following that month.

1. The Service Provider will transfer to the Merchant the payments made in accordance with this

contract to the following transaction account of the Merchant (please fill in the account data):

1. For implementing the service GoCrypto Payment at points-of-sale, the Merchant uses (i) the cash register system which is used by the Merchant for invoicing and where the GoCrypto interface with its connected modules, libraries and protocols is installed, or (ii) the Service Provider's online system (GoCrypto Web POS). The Merchant chooses the type of system through the electronic form provided by the Service Provider with the signing of this agreement. A regularly updated list of the cash register systems for invoicing which support the GoCrypto program interface is published on the website of the Service Provider.

2. For performing the service GoCrypto Payment at an online shop, the Merchant uses (i) the Service Provider's system (GoCrypto E-commerce POS) or (ii) a system developed by the Merchant in collaboration with the Service Provider. A regularly updated list of the supported online shop platforms is published on the website of the Service Provider.

1. The Contracting Parties undertake to immediately notify each other in writing of any changes that have arisen or will arise in connection with the implementation of this contract and could affect their business collaboration. In the opposite case, they are liable to each other for the financial, material and other consequences due to withholding the notification.

This contract enters into force when signed by the authorised representatives of both Contracting Parties, or when the Merchant receives the explicit statement that the Service Provider accepts the offer submitted by the Merchant to the e-mail entered when submitting the offer on Service Provider`s webpage, where the invitation of the Service Provider to the business collaboration is published.

2. Any and all changes and amendments of the contract can be made in written or electronic form by amending GoCrypto General Terms, or by drawing up an annex to the contract and enter into force on the day of hand signature or electronic signature by the authorised representatives of both Contracting Parties.
